Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stasis, a team-management and capacity-planning service operated by Clavis ("we", "us", "our"). By creating an account or using the service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation ("Customer", "you").
1. The service
Stasis is a multi-tenant software-as-a-service application that turns work estimates into a self-rescheduling daily timetable for a team. We provide the service on a subscription basis and may add, change or remove features over time. We aim to give reasonable notice of material changes that reduce core functionality.
2. Accounts & eligibility
You must be at least 18 years old and able to form a binding contract to use Stasis. You are responsible for the accuracy of the information you provide, for all activity under your account, and for keeping your login credentials confidential. Notify us promptly of any unauthorised use.
3. Acceptable use
You agree not to:
- use the service to break any applicable law or infringe anyone's rights;
- upload malware, or attempt to gain unauthorised access to the service, other tenants' data, or our systems;
- probe, scan or test the vulnerability of the service except with our prior written consent;
- resell, sublicense or provide the service to third parties except as expressly permitted;
- use the service to store or transmit content that is unlawful, harmful, or that you have no right to process.
4. Subscriptions & billing
- Fees. Paid plans are charged per manager seat, with a number of staff seats included per manager seat and a per-staff charge beyond that, as described on our pricing page. Fees are stated in the currency shown at checkout.
- Renewal. Subscriptions renew automatically at the end of each billing period (monthly or yearly) until cancelled. By subscribing you authorise recurring charges to your payment method.
- Taxes. Fees are exclusive of taxes. You are responsible for any applicable taxes, including Malaysian Sales and Service Tax (SST) where it applies, which we may add to your invoice.
- Cancellation. You may cancel at any time; cancellation takes effect at the end of the current billing period and stops future renewals.
- Refunds. Except where required by law, fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods, unused time, or downgrades unless expressly stated in writing.
5. Your data
As between you and us, you own all data you and your users submit to the service ("Customer Data"). You grant us a limited licence to host, process and transmit Customer Data solely to provide and support the service. Where Customer Data includes personal data, we act as your data processor and process it on your documented instructions — see our Privacy Notice and Data Processing Addendum. You are responsible for having the necessary rights and lawful basis to provide Customer Data to us, including any personal data about your staff.
6. Availability & warranty disclaimer
We work hard to keep Stasis available and reliable, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. The scheduling engine produces suggestions and plans to assist your decisions; you remain responsible for the decisions you make using them.
7. Limitation of liability
To the fullest extent permitted by law, neither party is liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the service or these Terms will not exceed the amount you paid us for the service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
8. Suspension & termination
We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if your use poses a security or legal risk. You may stop using the service and close your account at any time. On termination, your right to use the service ends. You may export your Customer Data before termination; after a reasonable period we may delete it as described in our Privacy Notice and DPA.
9. Changes to these Terms
We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, give notice in the app or by email. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
10. Governing law
These Terms are governed by the laws of Malaysia, without regard to conflict-of-laws principles. You and we submit to the exclusive jurisdiction of the courts of Malaysia for any dispute arising out of or relating to these Terms or the service.
